Terms of Service
These Terms of Service ("Terms") form the agreement between you and MAIPRINT LLC ("NestSheet", "we", "us") governing your use of nestsheet.com and the NestSheet application. By creating an account or using the service, you agree to these Terms.
1. Acceptance of terms
By creating an account, subscribing to a paid plan, or otherwise using NestSheet, you confirm that you have read and agree to these Terms, our Privacy Policy, our Cookie Policy, and our Refund Policy. If you do not agree, do not use the service.
If you are using NestSheet on behalf of a company or other legal entity, you represent that you have authority to bind that entity, and "you" refers to both you personally and that entity.
2. Account creation & eligibility
You must be at least 18 years old to create an account. NestSheet is built for professional print shops and is not intended for children. You are responsible for keeping your credentials safe and for any activity on your account. Notify us at [email protected] immediately if you believe your account has been accessed by someone else.
You agree to provide accurate account information (a working email at minimum) and to keep it up to date. One account per person or legal entity; seats for additional operators are added from within your workspace settings where supported by your plan.
3. Subscription & billing
Paid plans are sold and billed through Paddle.com Market Limited as Merchant of Record. This means Paddle — not MAIPRINT LLC directly — collects payment, handles applicable VAT or sales tax, issues invoices, and manages payment disputes. Your contract for the payment itself is therefore with Paddle; your contract for the underlying service is with MAIPRINT LLC under these Terms.
Subscriptions renew automatically at the end of each billing period (monthly or annual, as selected at checkout) at the then-current price. You can cancel future renewals at any time from your account settings or by emailing support; cancellation takes effect at the end of the paid period already in progress. Prices and plan features are listed at nestsheet.com/pricing. We may change prices for future billing periods with at least 30 days' notice by email; the price you signed up at applies until the next renewal.
4. Your content
You retain all rights, title, and interest in the artwork, designs, and other files you upload to NestSheet ("Your Content"). We do not claim ownership of Your Content and we do not sell it, share it with other customers, or use it to train machine-learning models.
To operate the service, you grant us a limited, worldwide, royalty-free licence to store, process, transmit, render, and display Your Content strictly to provide the service to you — for example, to pack sheets, generate previews, run exports, and show your content back to you inside your own workspace. This licence ends when you delete the content or close your account, subject to the retention periods in our Privacy Policy.
5. Prohibited uses
You agree not to use NestSheet to:
- Upload, store, or produce files that infringe someone else's intellectual property, publicity, or moral rights.
- Produce content that depicts minors in sexual or inappropriate contexts, promotes violence against individuals or groups, or is otherwise illegal in your jurisdiction or ours (Ukraine).
- Attempt to breach security, probe for vulnerabilities, bypass rate limits, or otherwise abuse the system. Responsible disclosure is welcome at [email protected].
- Use the service to send unsolicited marketing, phishing, or malware; to scrape other users' data; or to resell access without our prior written agreement.
- Automate the service beyond the published API or beyond what a reasonable human operator would do, in a way that degrades service for other customers.
We may suspend or terminate accounts that violate this section, generally with written notice and an opportunity to correct (immediately, without notice, for flagrant cases such as CSAM or active attack).
6. AI features disclosure
NestSheet includes optional AI-assisted features — background removal, mask generation, and similar — that send the specific image you act on to Anthropic PBC's Claude API for processing. We send only the image you ask us to process and the minimal prompt needed; we do not send your account identity, other files, or sheet metadata alongside it.
Anthropic processes this request on our behalf as a subprocessor under their standard terms and does not use the content to train models. When you click an AI-assisted action, you consent to this specific processing for that specific image. You can use NestSheet without ever invoking an AI feature — the core packing, export, and preview features run entirely on our own servers.
7. Service availability
We operate the service on commercially reasonable best-effort uptime. Paid plans target 99% monthly availability, excluding planned maintenance (announced in advance) and force-majeure events. Free plans are provided as-is, with no uptime commitment. A monthly status page and post-incident notes are published at nestsheet.com/status.
NestSheet is a pre-press tool. Final responsibility for what goes to press — colour accuracy, file correctness, and licensing of the artwork — is the operator's. We cannot reimburse the cost of a bad print run; we can and will fix the software when it is at fault.
8. Termination
You may terminate your account at any time from account settings or by emailing [email protected]. After termination, we retain your account and uploaded content for 90 days so you can restore it if you change your mind, then delete it per our Privacy Policy.
We may terminate or suspend accounts that materially violate these Terms, fail to pay, or create legal or security risk for us or other users. Except in emergencies, we will give written notice and a reasonable chance to fix the problem before terminating.
9. Limitation of liability
To the maximum extent permitted by applicable law, MAIPRINT LLC's total liability to you under or in connection with these Terms and the service, whether in contract, tort (including negligence), or otherwise, is limited to the greater of (a) the amount you paid us in the three (3) months immediately preceding the event giving rise to the claim, and (b) EUR 100.
We are not liable for indirect, incidental, consequential, special, or punitive damages; loss of profits, revenue, goodwill, or production time; or loss of data beyond what our backup retention is designed to restore. Nothing in these Terms limits liability for matters that cannot be limited by law (fraud, wilful misconduct, death or personal injury caused by negligence, consumer rights guaranteed by EU consumer law).
10. Changes to service & terms
We may add, change, or remove features over time. For changes that materially reduce the service you paid for, we will give at least 30 days' notice by email and you may cancel and receive a pro-rata refund of any unused prepaid period.
We may update these Terms. Material changes (anything affecting your rights, billing, or data handling) are announced by email to the address on your account at least 30 days before they take effect; editorial changes are made in place, and the "Last updated" date at the top of this page always reflects the most recent revision. Continued use after a change takes effect means you accept the new Terms.
11. Governing law & dispute resolution
These Terms are governed by the laws of Ukraine, without regard to its conflict-of-laws rules. For disputes with EU consumer users, mandatory local consumer-protection rules continue to apply.
If we have a dispute, both sides agree to first attempt to resolve it in good faith by email within 30 days. If that fails:
- For individual consumer users: the dispute may be brought in the courts of your country of residence (EU/EEA) or in the commercial courts of Kyiv, Ukraine, at your choice.
- For business (B2B) users outside Ukraine: disputes are finally settled by arbitration under the Arbitration Rules of the Stockholm Chamber of Commerce, seat Stockholm, language English, one arbitrator.
- For Ukrainian users: disputes are resolved in the commercial courts of Kyiv.
EU consumers can also use the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr .
